TERMS AND CONDITIONS OF SERVICE

These Terms and Conditions of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Divergent Solutions Group LLC, a limited liability company organized under the laws of the State of West Virginia, doing business as Cheap Key Shop (“Cheap Key Shop,” “we,” “us,” or “our”). These Terms govern your purchase of digital product keys (“Product Keys”) and your use of our website and services (collectively, “Services”).

PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING ANY PRODUCT KEYS OR USING OUR SERVICES. BY CLICKING “I AGREE,” “PURCHASE,” OR SIMILAR BUTTON, OR BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PURCHASE PRODUCT KEYS OR USE OUR SERVICES.

  1. ACCEPTANCE OF TERMS

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Services.

  1. DIVERGENT SOLUTIONS GROUP LLC / CHEAP KEY SHOP

Divergent Solutions Group LLC, operating under the trade name Cheap Key Shop, is a reseller of third-party software product activation keys. We sell only Product Keys. We do not sell, license, or transfer the underlying software, which remains the property of the respective software publishers.

  1. ELIGIBILITY AND AGE RESTRICTION

Our Services are intended for users 18 years of age or older. By using our Services, you represent and warrant that you are at least 18 years old or have obtained parental or guardian consent to enter into this Agreement. We do not knowingly collect information from minors under 13, in compliance with the Children’s Online Privacy Protection Act (COPPA).

  1. KEY SOURCE AND AUTHORIZATION

All Product Keys sold by Cheap Key Shop are obtained through legitimate retail or authorized distribution channels or sourced from legitimate markets. We warrant that Product Keys are not stolen, fraudulently obtained, or derived from volume licensing agreements intended for enterprise use.

Customer acknowledges that Cheap Key Shop is a marketplace reseller, and that key acceptance and long-term validity are ultimately determined by the respective software publisher. We make no representations regarding publisher policies on key activation or future revocation.

  1. DIGITAL DELIVERY ONLY

All products sold are digital Product Keys delivered electronically via email to the address you provide at checkout. No physical products will be shipped.

Delivery typically occurs within 5 minutes of payment confirmation. In some cases, delivery may take longer due to payment verification, fraud prevention measures, or technical issues.

Customer is solely responsible for:

(a) Providing an accurate and valid email address at the time of purchase.

(b) Checking their spam or junk mail folders for delivery of the Product Key.

(c) Promptly downloading or securely recording the Product Key upon receipt.

(d) Maintaining secure storage of purchased Product Keys.

Risk of loss for the Product Key passes to Customer upon successful email delivery to the provided address, regardless of whether Customer retrieves or opens the email. It is Customer’s responsibility to retrieve the Product Key from the provided email.

  1. REFUND AND RETURN POLICY

Our refund policy for digital products is governed by our separate Refund Policy, available on our website at https://www.cheapkeyshop.com/refund-policy/.

DUE TO THE DIGITAL NATURE OF OUR PRODUCTS, ALL SALES ARE FINAL ONCE THE PRODUCT KEY HAS BEEN DELIVERED TO CUSTOMER’S EMAIL ADDRESS, EXCEPT AS EXPRESSLY STATED IN OUR REFUND POLICY.

We will provide a replacement or refund only in specific circumstances, such as an invalid key at the time of delivery or delivery of the wrong product, and subject to strict conditions outlined in our Refund Policy. Refunds will not be issued for reasons such as change of mind, inability to use the software due to system incompatibility, or publisher revocation after successful activation.

  1. KEY VALIDITY AND PUBLISHER REVOCATION

CRITICAL NOTICE: Cheap Key Shop sells Product Keys that are valid and functional at the time of delivery. However:

(a) Software publishers (e.g., Microsoft, Adobe, gaming platforms) retain the sole right to revoke, deactivate, or refuse activation of any Product Key at their discretion, at any time, for any reason. This may occur if a publisher determines a key was improperly sourced (even if Cheap Key Shop obtained it through legitimate channels), violates geographic or licensing restrictions, is flagged in their fraud detection systems, or if the publisher changes activation policies.

(b) Cheap Key Shop has no control over software publisher policies, activation servers, or key management systems.

(c) CHEAP KEY SHOP IS NOT RESPONSIBLE FOR PRODUCT KEY REVOCATIONS OR DEACTIVATIONS THAT OCCUR AFTER INITIAL SUCCESSFUL ACTIVATION OR AFTER THE REFUND WINDOW SPECIFIED IN OUR REFUND POLICY. Our obligation is limited to delivering a valid and functional key at the time of sale.

(d) Customer purchases Product Keys “AS IS” and assumes all risk of future publisher action, including but not limited to revocation, deactivation, or changes in activation requirements.

(e) If a key is revoked by a publisher within the timeframe specified in our Refund Policy and before Customer has activated it, Customer may be eligible for a replacement or refund as per our Refund Policy. After this timeframe, or after successful activation, all sales are final.

(f) Customer acknowledges that purchasing Product Keys from resellers carries inherent risks that publishers may not honor such keys long-term, particularly if Customer violates the publisher’s End-User License Agreement (EULA).

  1. INTELLECTUAL PROPERTY AND THIRD-PARTY LICENSES

(a) Cheap Key Shop sells only Product Activation Keys. We do not sell, license, or transfer the underlying software, which remains the exclusive property of the respective software publishers.

(b) All software names, trademarks, logos, and copyrights referenced or implied on our website are the property of their respective owners. We claim no ownership or affiliation with any software publisher unless explicitly stated.

(c) CUSTOMER’S USE OF ANY SOFTWARE ACTIVATED WITH OUR PRODUCT KEYS IS SUBJECT TO THE END-USER LICENSE AGREEMENT (EULA) OF THE SOFTWARE PUBLISHER. CUSTOMER MUST REVIEW AND ACCEPT THE PUBLISHER’S EULA BEFORE INSTALLING, ACTIVATING, OR USING THE SOFTWARE.

(d) Customer agrees to:

    • Comply with all publisher EULAs and terms of service.
    • Use Product Keys only for their intended purpose and authorized number of installations.
    • Not reverse engineer, crack, or circumvent software protections.
    • Not resell, redistribute, or commercially exploit Product Keys without explicit authorization from the software publisher.

(e) Violation of publisher EULAs may result in Product Key revocation, software deactivation, and legal action by the software publisher. Cheap Key Shop is not responsible for Customer’s EULA violations.

  1. PROHIBITED USES

Customer agrees NOT to use our Services for any illegal purpose or engage in any activity that violates these Terms, including but not limited to:

(a) Using our Services in violation of any applicable local, state, national, or international law or regulation.

(b) Purchasing Product Keys using stolen credit cards, fraudulent payment methods, or another person’s payment information without authorization.

(c) Attempting to defraud Cheap Key Shop through false refund claims, chargebacks, or other deceptive means.

(d) Using automated systems, bots, scripts, or similar methods to make purchases, access, or scrape our website.

(e) Harassing, threatening, or abusing our customer service representatives or other users.

(f) Attempting to reverse engineer, decompile, or discover our Product Key sourcing methods.

(g) Purchasing Product Keys for software piracy, circumvention of copy protection, or other unlawful activities.

(h) Making bulk purchases for unauthorized commercial resale (unless expressly agreed in writing with Cheap Key Shop).

(i) Interfering with or disrupting the integrity or performance of the Services or the data contained therein.

VIOLATION OF THESE PROHIBITIONS MAY RESULT IN IMMEDIATE ACCOUNT TERMINATION, CANCELLATION OF PENDING ORDERS WITHOUT REFUND, REPORTING TO LAW ENFORCEMENT IF CRIMINAL ACTIVITY IS SUSPECTED, LEGAL ACTION TO RECOVER DAMAGES, AND A PERMANENT BAN FROM OUR SERVICES.

  1. PAYMENT PROCESSING AND CHARGEBACKS

(a) We accept various payment methods as indicated on our website. By providing payment information, you represent and warrant that you are authorized to use the designated payment method. You authorize us to charge the stated amount for your purchase.

(b) We use third-party payment processors, which may have their own terms and conditions. You agree to comply with such terms. Payment information is encrypted and processed securely. We do not store full credit card numbers on our servers.

(c) Prices are in U.S. Dollars (USD) unless otherwise stated. Customer is responsible for any currency conversion fees charged by their financial institution.

(d) We reserve the right to refuse or cancel orders that we suspect involve fraudulent payment methods or unauthorized transactions.

CHARGEBACK PROHIBITION AND CONSEQUENCES:

(e) CUSTOMER AGREES TO CONTACT US DIRECTLY AT [email protected] TO RESOLVE ANY BILLING DISPUTES OR ISSUES BEFORE INITIATING A CHARGEBACK WITH THEIR PAYMENT PROVIDER.

(f) If Customer initiates a chargeback without first attempting to resolve the issue with us:

    • We reserve the right to permanently ban Customer from future purchases and terminate any associated accounts.
    • We may report the chargeback as fraud if the Product Key was successfully delivered and/or activated.
    • Customer may be liable for our costs incurred in defending the chargeback, including administrative fees and legal expenses.

(g) We retain comprehensive records of all Product Key deliveries, activation attempts, and customer communications. This evidence will be provided to payment processors and financial institutions in chargeback disputes.

(h) Initiating chargebacks for Product Keys that were successfully delivered and activated, or for issues covered by our Refund Policy where the conditions for a refund were not met, may constitute fraud under federal and state laws.

  1. ACCOUNT TERMINATION

We reserve the right to:

(a) Refuse service to anyone for any lawful reason.

(b) Terminate Customer accounts that violate these Terms or engage in prohibited uses.

(c) Cancel pending orders that we suspect involve fraud or prohibited activities.

(d) Suspend accounts pending investigation of suspicious activity.

Customer may close their account at any time by contacting [email protected]. Account closure does not entitle Customer to refunds for previously purchased Product Keys.

  1. WARRANTY DISCLAIMER

EXCEPT AS EXPRESSLY PROVIDED IN OUR REFUND POLICY, PRODUCT KEYS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIVERGENT SOLUTIONS GROUP LLC DBA CHEAP KEY SHOP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

(b) WARRANTIES THAT PRODUCT KEYS WILL REMAIN VALID INDEFINITELY OR WILL NOT BE REVOKED BY SOFTWARE PUBLISHERS.

(c) WARRANTIES THAT SOFTWARE ACTIVATED WITH OUR KEYS WILL MEET CUSTOMER’S REQUIREMENTS OR OPERATE ERROR-FREE.

(d) WARRANTIES REGARDING COMPATIBILITY WITH CUSTOMER’S HARDWARE OR OPERATING SYSTEM.

(e) WARRANTIES OF UNINTERRUPTED OR SECURE DELIVERY.

WE WARRANT ONLY THAT PRODUCT KEYS WILL BE VALID AND FUNCTIONAL AT THE TIME OF DELIVERY. WE MAKE NO REPRESENTATIONS ABOUT FUTURE VALIDITY, PUBLISHER ACCEPTANCE, OR LONG-TERM FUNCTIONALITY.

CUSTOMER ACKNOWLEDGES THAT DIGITAL PRODUCT KEY RESALE INVOLVES INHERENT RISKS AND PURCHASES AT CUSTOMER’S OWN RISK.

Some jurisdictions do not allow disclaimers of implied warranties, so portions of this disclaimer may not apply to you. For example, California residents may have specific rights under the Song-Beverly Consumer Warranty Act.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) DIVERGENT SOLUTIONS GROUP LLC DBA CHEAP KEY SHOP’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO PRODUCT KEYS PURCHASED SHALL NOT EXCEED THE AMOUNT CUSTOMER PAID FOR THE SPECIFIC PRODUCT KEY AT ISSUE.

(b) WE SHALL NOT BE LIABLE FOR ANY DAMAGES, DIRECT OR INDIRECT, ARISING FROM:

    • Publisher revocation or deactivation of Product Keys after successful initial activation.
    • Software malfunctions, bugs, or compatibility issues.
    • Loss of data, profits, business opportunities, or goodwill.
    • Indirect, incidental, consequential, punitive, or special damages.
    • Customer’s inability to install, activate, or use software.
    • Changes in publisher policies or activation requirements.
    • Delays in delivery due to email service provider issues or other factors beyond our control.
    • Customer’s failure to preserve, secure, or properly use purchased Product Keys.
    • Any unauthorized access to or use of our secure servers and/or any personal information stored therein.

(c) WE DO NOT PROVIDE TECHNICAL SUPPORT FOR SOFTWARE INSTALLATION, CONFIGURATION, OR USE. Customer must contact the software publisher for technical assistance.

(d) SOME STATES DO NOT ALLOW LIMITATION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IF YOU RESIDE IN SUCH A STATE, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

(e) The limitations in this section apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, even if Cheap Key Shop has been advised of the possibility of such damages.

(f) These limitations shall survive any termination or expiration of these Terms.

  1. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Divergent Solutions Group LLC dba Cheap Key Shop, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

(a) Your violation of these Terms.

(b) Your use of the Services or Product Keys.

(c) Your violation of any third-party right, including without limitation any intellectual property, privacy, or EULA right.

(d) Your violation of any applicable law, rule, or regulation.

  1. PRIVACY POLICY

Your use of our Services is also governed by our Privacy Policy, available on our website at https://www.cheapkeyshop.com/privacy-policy/. By using our Services, you consent to our collection, use, and disclosure of your personal information as described in our Privacy Policy. We comply with applicable data protection laws including the California Consumer Privacy Act (CCPA), the Virginia Consumer Data Protection Act (VCDPA), the Colorado Privacy Act (CPA), and other state privacy regulations.

  1. MODIFICATION OF TERMS

We reserve the right to modify these Terms at any time, at our sole discretion. Changes will be effective immediately upon posting to our website with a new “Last Updated” date. We will make reasonable efforts to notify you of material changes (e.g., via email to registered users).

YOUR CONTINUED USE OF OUR SERVICES AFTER THE EFFECTIVE DATE OF ANY MODIFIED TERMS CONSTITUTES YOUR ACCEPTANCE OF THE MODIFIED TERMS. If you do not agree to the modified Terms, you must cease using our Services and discontinue any further purchases. Disputes arising before the effective date of changes shall be governed by the Terms in effect at the time of your purchase.

  1. GOVERNING LAW AND JURISDICTION

(a) These Terms and any dispute or claim arising out of or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of law provisions.

(b) Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Jefferson County, West Virginia, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

(c) Customer waives any objection to venue in such courts and any claim that such courts are an inconvenient forum.

(d) The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

(e) If Customer resides in a jurisdiction where the above choice of law or venue provisions are unenforceable, the laws of Customer’s jurisdiction shall apply only to the minimum extent required by law.

  1. BINDING ARBITRATION AND CLASS ACTION WAIVER (OPTIONAL – READ CAREFULLY)

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND LIMITS YOUR ABILITY TO PARTICIPATE IN CLASS ACTIONS.

(a) Agreement to Arbitrate: Customer and Divergent Solutions Group LLC dba Cheap Key Shop agree that any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or Customer’s purchase or use of Product Keys or Services (excluding claims for injunctive or other equitable relief) shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

(b) Small Claims Court Exception: Either party may bring an individual action in small claims court instead of arbitration if the claim qualifies and remains in small claims court.

(c) Class Action Waiver: CUSTOMER AGREES TO BRING CLAIMS AGAINST DIVERGENT SOLUTIONS GROUP LLC DBA CHEAP KEY SHOP ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. This means that you may not join your claim with the claims of other persons or entities, or bring a claim as a representative of others.

(d) Arbitration Procedures:

    • The arbitration shall be conducted in Jefferson County, West Virginia, or via telephone or video conference, at the election of the party initiating the arbitration.
    • The arbitrator’s decision shall be final and binding, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
    • Each party shall bear their own costs and attorneys’ fees unless otherwise awarded by the arbitrator in accordance with applicable law.
    • For claims under $10,000, Cheap Key Shop will reimburse Customer’s filing fees unless the claim is found to be frivolous.

(e) Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to Divergent Solutions Group LLC, Attn: Legal Department, 630 N. Mildred St., Suite 410, Ranson WV, 25438, within 30 days of your first purchase or initial acceptance of these Terms, whichever is earlier. Your opt-out notice must include your name, email address, mailing address, and a clear statement that you wish to opt out of the arbitration agreement. Opting out of this arbitration agreement will not affect any other provisions of these Terms.

(f) Severability: If any portion of this “Binding Arbitration and Class Action Waiver” section is found to be unenforceable or invalid, the remainder of this section shall continue in full force and effect, except that if the class action waiver is found to be unenforceable, then the entirety of this arbitration clause shall be null and void.

(g) Survival: This arbitration clause shall survive termination of your relationship with us.

  1. FORCE MAJEURE

Cheap Key Shop shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, fuel crises, software publisher server outages, or interruptions in internet, telecommunications, or power services.

  1. ELECTRONIC AGREEMENT AND COMMUNICATIONS

By clicking “I Agree,” “Purchase,” or similar button, or by using our Services, you agree to conduct transactions electronically and acknowledge that your electronic acceptance constitutes a legally binding signature. You consent to receive all agreements, disclosures, notices, and communications electronically. You may request paper copies of certain documents by contacting [email protected], and we will provide them within a reasonable time.

  1. INTERNATIONAL SALES AND GEOGRAPHIC RESTRICTIONS

(a) We may sell Product Keys to customers outside the United States. International customers are solely responsible for:

    • Compliance with their local laws regarding software purchases and digital goods.
    • Any import duties, taxes, customs fees, or other charges imposed by their country.
    • Currency conversion fees charged by their financial institution.
    • Ensuring the software is legal to use and activate in their jurisdiction.

(b) Some software publishers restrict activation or use of Product Keys by geographic region. We are not responsible if a Product Key cannot be activated or used in Customer’s country due to publisher-imposed regional restrictions.

(c) These Terms are governed by U.S. law regardless of Customer’s location.

(d) International customers may have different refund rights under their local consumer protection laws.

  1. STATE-SPECIFIC RIGHTS

Residents of certain states may have additional rights under state consumer protection laws. These Terms do not limit any consumer protection rights that cannot be waived under applicable state law. If any provision of these Terms conflicts with mandatory state consumer protection laws, such laws shall prevail to the minimum extent necessary.

CALIFORNIA RESIDENTS: You have specific rights under California law, including rights under the Consumer Legal Remedies Act and the California Consumer Privacy Act (CCPA). For CCPA requests, please refer to our Privacy Policy. Warranty disclaimers may be limited by the Song-Beverly Consumer Warranty Act.

NEW YORK RESIDENTS: You have rights under New York General Business Law § 349 and § 350 regarding deceptive acts and practices. All material terms are disclosed in these Terms and on our website.

  1. MISCELLANEOUS

(a) Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Divergent Solutions Group LLC dba Cheap Key Shop regarding your use of the Services and purchases, superseding any prior agreements.

(b) Severability: If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to reflect the parties’ intention or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

(c) No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Cheap Key Shop.

(d) Assignment: You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms at any time without notice, including in connection with a merger, acquisition, or sale of assets.

(e) Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.

(f) Survival: Provisions that by their nature should survive termination shall survive, including but not limited to: warranty disclaimers, limitation of liability, indemnification, governing law, and arbitration provisions.
